TERMS OF USE

1. Introduction

The website mstat.com is owned by the company “EM STAT Société Anonyme for the Provision of Software Production & Trading and Radio Material Services” (hereinafter “MSTAT” or “the Company”), which is headquartered in Athens, at 6 Sinopis Street and 11 Evinos Street, P.C. 11527, Greece. MSTAT is legally represented, has Tax Identification Number (VAT) 999983276 (F.A.E. Athens Tax Office), and General Commercial Registry (G.E.MI.) number 4387801000. MSTAT is a leading company in the field of mobile services and has developed services and platforms such as Bulker (bulk SMS sending service) and the Omni Messaging Platform (multichannel communication platform). Through this website and its connected platforms, MSTAT provides its services under the following terms of use.
The visitor/user of the pages and services of mstat.com and the individual platforms of MSTAT (e.g. bulker.gr, Omni platform, etc.) is requested to carefully read these terms of use before browsing or using them. By accessing, browsing, or using any MSTAT service, it is presumed that the visitor/user has read, understood, and unreservedly accepted all terms of use. If the visitor/user does not agree with these terms, they must not use the website or services. Continued use constitutes acceptance of the terms. These terms of use apply to all content of the mstat.com website and to all services provided by MSTAT through it and/or through other company web addresses.
MSTAT reserves the right to unilaterally modify these terms of use at any time, without prior notice. Any new terms come into force upon their publication on the website. Users are encouraged to periodically review the terms for changes. Continued use after modifications constitutes acceptance of the amended terms. Otherwise, users must refrain from using the website and services.

2. Description of Services

Through the mstat.com website and its connected platforms, MSTAT provides users with advanced communication services, allowing the easy and immediate sending of electronic messages to any mobile subscriber (or other digital communication channel) within Greece or internationally. Specifically, after creating an account and acquiring available credit, the user may send SMS and other types of messages (such as Viber messages, emails, WhatsApp messages, RCS, push notifications), create multichannel marketing campaigns, and use tools such as landing page creation, contact list/CRM management, chatbots, etc., through the user-friendly web environment provided by MSTAT. The services are addressed to businesses and enable mass and personalized communication with customers, sending notifications, promotional messages, transactional notifications (e.g. OTP), etc.

Access to the services requires user registration and the purchase of the respective services or message units. Certain basic features or trial use (e.g. sending a limited number of free SMS) may be offered free of charge upon initial registration. Existing services, as well as any future services added to mstat.com or MSTAT platforms, are subject to these terms unless explicitly stated otherwise.

The user understands and accepts that all MSTAT services are provided “as is.” While MSTAT strives to provide high-quality, secure, and reliable services, it does not guarantee that the services will fully meet every user’s requirement or that operation will be uninterrupted, timely, secure, or error-free. Services are provided via the internet and third-party infrastructures (e.g. mobile networks, OTT messaging providers’ servers). Therefore, MSTAT disclaims liability for any limitation, deletion, delay, poor performance, or failure to store user data and/or any damage that may arise during service use.

3. Access and User Responsibility for Equipment

The user is solely responsible for access to MSTAT services. Access may require payment of fees to third parties such as internet service providers or telecommunications providers. The user is solely responsible for such payments, as well as for their personal equipment and necessary technological means (computer, smartphone, internet connection, etc.). MSTAT bears no responsibility if the user is unable to access services due to inadequate equipment or connectivity issues caused by third-party providers.

4. Operation of Services – Dependent Networks

MSTAT services (especially SMS/Viber, etc.) depend directly on telecommunications networks and cooperating providers with whom MSTAT has contractual relationships. MSTAT maintains direct connections with all Greek mobile operators and selected international providers/aggregators to ensure maximum coverage and speed. However, changes or issues in these networks (e.g. technical failures, network configuration changes, policy changes of third-party platforms such as Viber/WhatsApp) may affect service operation. MSTAT makes every reasonable effort to ensure continuous and uninterrupted service but cannot fully guarantee absolute availability or performance at all times.

5. User Registration – Member Account

Full use of services requires registration and creation of a personal account. By registering, the user agrees to: (a) provide true, accurate, valid, and complete information, and (b) promptly update registration details to keep them accurate and current. If MSTAT determines that information provided is false or inaccurate, it reserves the right to suspend or terminate the account.

Upon completion of registration, the user receives account access credentials (username and password). In some services, the username may be the user’s mobile number, with the password sent via SMS for verification. The user is solely responsible for maintaining the confidentiality and security of their credentials. All actions performed under the user’s credentials are deemed to have been performed by the user. Any unauthorized use or security breach must be reported immediately to MSTAT.

MSTAT is not liable for any damage or loss resulting from the user’s failure to safeguard account credentials. MSTAT may request additional verification (e.g. email confirmation or OTP) for security reasons.

6. User Obligations / Conduct – Prohibited Uses

The user agrees to comply fully with applicable law and not to engage in illegal or abusive use of MSTAT services. Indicatively and not exhaustively, it is prohibited to use the services for content that:

  1. Unsolicited advertising / spam: Contains or promotes the sending of unsolicited, unwanted advertising messages (spam), installation of unauthorized advertising or other promotional content. Any form of mass messaging without the explicit consent of recipients is strictly prohibited. The user must comply with electronic communications and privacy legislation (Law 3471/2006) requiring prior recipient consent for electronic advertising messages (unless falling under a statutory exemption).
  2. Illegal or harmful content: Is illegal, harmful, threatening, offensive, harassing, defamatory, vulgar, obscene or violent. Content promoting racist, hateful or otherwise unacceptable views, or violating personality rights, privacy or personal data of third parties, or inciting hatred, or any content constituting a criminal offense.
  3. Harm to minors: Content that may cause harm to minors in any way. Special care must be taken not to send material inappropriate for minors without appropriate safeguards.
  4. Misrepresentation: Content that imitates or falsely claims to originate from another natural or legal person. Impersonation or false statements regarding identity or affiliation are prohibited (e.g. claiming falsely to represent a company or authority).
  5. Third-party intellectual property: Content that infringes intellectual or industrial property rights of third parties (copyrights, trademarks, patents) or disclosing trade secrets or confidential information without authorization.
  6. Alteration of identifiers / headers: Falsification or alteration of message identification elements to mislead as to message origin. Sending SMS with unauthorized or false sender IDs (Caller ID) is prohibited.
  7. Interference with networks and services: Interferes with, interrupts, burdens or damages the MSTAT services themselves or the servers and networks used to provide them. The user is not allowed to take any action that could disrupt the operation of the systems, bypass authentication, test vulnerabilities (hacking) or generally violate the security of the services. He must also comply with all rules and policies for the use of the collaborating networks or platforms (e.g. terms of use of the respective telecommunications provider or OTT messaging service provider).
  8. Violation of laws: Violates, with or without intent, the applicable legislation regarding MSTAT services. The user is responsible for ensuring that the content he sends and the use he makes are legal under all relevant provisions (e.g. consumer protection legislation, sending commercial communications, data protection, telecommunications, advertising, criminal law, etc.).
  9. Violation of privacy/rights: Harassing third parties in any way and violating the right to privacy and the individual and social rights of other people. The user must respect the privacy of third parties – for example, it is prohibited to use the services to collect or process personal data of third parties without a legal basis or to send messages that violate privacy or offend the personality of a person.

MSTAT reserves the right (but not the obligation) to monitor the content distributed through its services and to exclude or delete any content it deems to violate the above terms or applicable law. In the event that MSTAT becomes aware of a violation of the above, it may immediately suspend the provision of services to the offending user or even terminate his account, possibly informing the competent authorities if it concerns a serious violation of the law.

7. Account Inactivity Policy

MSTAT wishes to keep its system and resources active for users who utilize the services. Therefore, a policy of deactivating/deleting accounts due to inactivity is applied. “Inactivity” is defined as a continuous period during which no transaction has been performed on the specific account. That is, no balance purchase has been made, no message has been sent through the platform, nor has the account been logged in for at least 12 months.

  • If 12 months of inactivity pass, MSTAT reserves the right to temporarily deactivate the account. In the event of deactivation, the user may not be able to log in or use their account until they contact MSTAT for reactivation (if possible).
  • If 24 months of inactivity pass, MSTAT reserves the right to permanently delete the account and all related user data it holds (except for any data that the company must retain for legal/accounting purposes).

Of course, the user has the right to request the deletion of his account at any time if he wishes (see also the data protection section). In case of reactivation after a long period of inactivity, the user may need to register again.

8. Links to other websites

The website mstat.com (and the connected platforms, e.g. bulker.gr) may include references via hyperlinks or advertising banners to third-party websites. These links are provided for the convenience of the user, e.g. links to partner pages, social media (Facebook, LinkedIn, YouTube, Instagram) or to client/project sites. These websites operate independently of MSTAT and are not under its control.

MSTAT does not guarantee the availability, content, privacy policy, quality and completeness of the services of such external websites, nor does it bear any responsibility for anything arising from their traffic or use. Any problem that occurs when visiting or using a website, to which we refer via a link, concerns exclusively the respective website and the user must contact there. The user also acknowledges that MSTAT is not responsible for his communication with third-party service providers that may be advertised on mstat.com, nor for any commercial transaction that may arise from his relationship with these third parties.

9. Pricing Policy – Service Modifications

MSTAT reserves the right to modify the pricing policy of its services (SMS charges, credit packages, service subscriptions, etc.) at any time, without prior notice to users. In particular, changes in the operation of telecommunications networks (e.g. new SMS traffic fees imposed by mobile providers) or changes in the cost of cooperating services (e.g. increases in charges from third-party platforms) may lead to corresponding changes in the pricing of MSTAT services, in order to reflect the changing cost. MSTAT makes an effort to inform users of significant price changes via the website and/or by direct notification (e.g. email).

MSTAT also reserves the right to change, suspend or discontinue temporarily or permanently parts or all of its services. For example, it may upgrade its platform, add or remove features, or discontinue a messaging service if deemed necessary. In the event of a permanent termination of a paid service, MSTAT will arrange for the refund of any balance to the customer.

MSTAT reserves the right to amend these Terms of Use. Any changes to the terms of use will be expressly stated in this text with an indication of the revision date, so that any variation is distinguishable. No amendment to the terms of this contract will be taken into account and will not form part of this agreement if it has not been formulated in writing and has not been incorporated into it (through updating the text on the site).

10. Intellectual & Industrial Property Rights

All content of the website mstat.com and MSTAT services/platforms – including but not limited to – the platform software, the source code, the design and layout of the pages, the texts, the articles and news, the graphics, the logos, the images, the drawings, the databases, as well as any kind of file or material included therein – constitute the intellectual property of MSTAT and are protected by the relevant provisions of Greek, European and international legislation. Only any explicitly recognized rights of third parties are excluded (such as logos of collaborating entities, which belong to their respective beneficiaries).

Any copying, reproduction, republication, modification, downloading, transmission, distribution, sale, rental, publication, execution, “mirroring” to another server, translation or distribution of this content in any way, in whole or in part, without the prior express written consent of MSTAT is expressly prohibited. This restriction also includes any derivative use of the website and its content for commercial purposes. Furthermore, the name “MSTAT”, the MSTAT trademark, as well as the names and marks of its products/services (such as “Bulker”, “Omni” etc.) are registered trademarks or distinctive features of MSTAT. No license or right of use is granted to third parties through these terms.

The user accepts that he does not acquire any intellectual property right or license to the software, code or other elements of the website beyond the right of use granted under these terms. Any illegal or unauthorized use of the content will result in civil and possibly criminal liability.

11. Personal Data Protection

The management and protection of the user/member’s personal data is subject to these terms and the relevant provisions of both Greek and European Law on the protection of personal data. In particular, the General Data Protection Regulation (EU) 2016/679 (GDPR), the Greek Law 3471/2006 (on the protection of personal data in electronic communications) and the Law 4624/2019, which complements the national data protection framework, apply. 12. Applicable Law – Jurisdiction

These Terms of Use and any dispute arising from the use of the mstat.com website and/or MSTAT services shall be governed by Greek law. The relevant directives and regulations of European law, as well as the relevant international conventions ratified by Greece, in particular regarding issues of electronic communications, trade and consumer protection, shall also apply. The terms are interpreted based on the rules of good faith, of fair dealing and taking into account their social and economic purpose.

The Courts of Athens shall have exclusive jurisdiction to resolve any dispute arising from the use of the services and/or the interpretation/application of these terms.

If any provision of the terms is deemed contrary to law and, therefore, invalid or voidable, it shall automatically cease to be valid, without this affecting the validity of the remaining terms. The failure of MSTAT to exercise any right or term hereunder shall not constitute a waiver thereof.
No modification of the terms of this contract shall be valid unless it has been formulated in writing and incorporated into it as stated above (see section 2 regarding modifications).
